Speed Channel, Inc’s. Barrett-Jackson Fantasy Bid Game – Scottsdale, AZ 2012 (the Game) may only be entered in or from the United States, including Alaska and Hawaii, and Canada (excluding the province of Quebec).  Entries originating from any other jurisdiction are not eligible for entry.

1. Description of the Game. Speed Channel, Inc. (the “Sponsor”) is the sponsor of this Game. The Game is set up as a fantasy bid auction, whereby entrants will be invited to place non-obligatory fantasy bids (i.e. best estimates of final sales prices) (each a “Fantasy Bid”) on up to twenty eight (28) designated automobiles (each, a “Fantasy Bid Vehicle”, and collectively, the “Fantasy Bid Vehicles”). Entrants will be given the opportunity through their fantasy bids to build points as more fully set forth below.  The winners will receive prizes as more specifically described below.  The Game begins on January 19, 2012 and continues through January 22, 2012 subject to the applicable time periods listed below (the “Game Period”).  Entry in the Game does not constitute entry into any other promotion, contest or sweepstakes excepting to the extent an entry is considered a valid entry into the Barrett-Jackson Fantasy Bid Sweepstakes (the “Sweepstakes”).  By participating in the Game, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects.  

2. Eligibility. The Game is open only to legal residents of the fifty (50) United States, including Alaska, Hawaii, the District of Columbia and Canada (excluding the province of Quebec), who are at least 18 years of age or older at the time of entry.  Employees, officers & directors of Sponsor, Barrett-Jackson Co. LLC, Ford Motor Company and any participating promotional partners and their respective parent companies, subsidiaries, affiliates, distributors, retailers, sales representatives, partners, dealers, advertising and promotion agencies, manufacturers or distributors of promotion materials (all such individuals and entities collectively referred to herein as the “Promotion Entities”) and each of their immediate families members (parents, children, siblings, spouse) and/or people living in the same household (whether related or not) of such employees/officers/directors are NOT eligible to enter the Game or win a prize.  Void in Puerto Rico or where restricted or prohibited by law.

3. How to Enter. Each day during the Game Period, entrants may submit a Fantasy Bid in connection with each “Auction” (as defined below) by following the instructions set forth below during the ”Day 1 Auction Time”, “Day 2 Auction Time”, “Day 3 Auction Time” or the “Day 4 Auction Time” (as such terms are defined below) (each a “Bidding Time”) according to the schedule set forth below.  The Bidding Times are scheduled to take place each day during Speed's live telecast of the Barrett-Jackson Auction and immediately precede the real-time automobile auctions taking place during the telecast (each, an “Auction”).  Up to twenty eight (28) Auctions will take place during the Game Period.

January 19, 2012: beginning at approximately 7:00p.m. U.S. Eastern Time (“ET”) and continuing until the later of either (i) the conclusion of the Auction for the final designated automobile of such day or (ii) at 11:00 p.m. ET (the “Day 1 Auction Time”); or,

January 20, 2012: beginning at approximately 2:00p.m. ET  and continuing until the later of either (i) the conclusion of the Auction for the final designated automobile of such day or (ii) at 12:00a.m. ET (the “Day 2 Auction Time”); or,

January 21, 2012: beginning at approximately 2:00p.m. ET  and continuing until the later of either (i) the conclusion of the Auction for the final designated automobile of such day or (ii) at 1:00a.m. ET on January 23, 2012 (the “Day 3 Auction Time”); or,

January 22, 2012 beginning at approximately 2:00p.m. ET and continuing until the later of either (i) the conclusion of the Auction of the final designated automobile of such day or (ii) 6:00p.m. ET (the “Day 4 Auction Time”). The Day 1 Auction Time, the Day 2 Auction Time, the Day 3 Auction Time and the Day 4 Auction Time are collectively referred to as the “Auction Times.”

Bids may only be placed during the Bidding Times for each respective vehicle, which are slated to immediately precede the actual Auctions taking place on air during Speed's live telecast of the Barrett-Jackson Auction (currently scheduled for January 19, 2011 7:00pm – 11:00pm ET; and, January 20, 2011 2:00pm – 12:00am ET; and January 21, 2011 2:00pm – 1:00am ET and January 22, 2011 2:00pm – 6:00pm ET – telecast times subject to change, check your local listings). Bidding Times commence upon the announcement within the telecast of the Barrett-Jackson Auction that the Bidding Time for Fantasy Bids is open and expire upon the earlier of (i) Sponsor's announcement that the Bidding Time has expired or (ii) when the vehicle is placed on the auction block.    

There are two ways to place a bid: (1) By Mobile Phone Text Messaging: Send a text message to 773333 (SPEED3) (the “Short Code”) with your Fantasy Bid for each automobile during the applicable Bidding Times.  No other registration is necessary.  Please be aware that your standard mobile phone text messaging fees will apply and will be charged to your account. (2) For Free Alternate Means of Entry Via the Internet:  Visit the Website, register and follow the online instructions to submit your Fantasy Bid for any of the designated twenty eight (28) automobiles during the applicable Bidding Times. To place a bid, enter the amount of your bid in dollars without punctuation.  For example if the bid is One Hundred Thousand Dollars ($100,000.00), enter "100000".  No automatic dialers or other automated entry devices, bots and/or other programs and/or software are permitted for entry. All bids and entries become the sole and exclusive property of Sponsor and will not be returned. Sponsor is not responsible for lost, late, illegible, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries or bids, which will be disqualified, or for problems of any kind, whether mechanical, human or electronic. Only fully completed bids/entries are eligible. Proof of submission of or being charged by your mobile carrier for a bid will not be deemed to be proof of receipt by Sponsor.  Only one (1) fantasy bid per entrant per Auction will be accepted.  Bids may not be updated, changed or re-submitted.  In addition, each time an entrant makes a Fantasy Bid, such entrant will receive an entry into the Speed Channel, Inc.’s Barrett-Jackson Fantasy Bid Sweepstakes (the "Sweepstakes"), which is covered by a separate set of Official Rules.  For Official Rules and complete details in connection with the Sweepstakes go to www.speedfantasybid.com.

The text messaging method of entry is designed to work with most of the major wireless carriers in the United States and Canada, but Sponsor makes no guarantee that any particular wireless service provider will participate, and the mobile phone that is used must be capable of sending and receiving text messages. Entrants should check their phone’s features to see if they have that capability.  Wireless service providers may charge entrants for each text message, including any error message that is sent and received in connection with the Sweepstakes.  Entrants should consult their wireless service provider’s pricing plan for details.  Proof of text messaging the Short Code is not considered proof of delivery to or receipt by Sponsor of such entry.  

4. Winner Selection/Scoring:  Winner selection and scoring will be determined as follows.  The first eligible entrant (as determined by Sponsor in its sole discretion) whose fantasy bid is the same as or comes the closest to the final sales price without going over the final sales price for any of the twenty eight  (28) designated automobiles auctioned during the Game Period will be named a First Place Winner (a “First Place Winner”). In addition, in order to determine each Daily Prize Winner (a “Daily Prize Winner”) and the Grand Prize Winner (the “Grand Prize Winner”), the Runner Up (the “Runner Up”) and the Second Runner Up (the “Second Runner Up”), entrants will be awarded points based on how closely their Fantasy Bids come to the final sales price of the applicable Auction without going over the final sales price for all cars in which the entrant bids during the Game Period. The entrant who amasses the most points during each Auction Time will be declared the Daily Prize Winner for such day. The entrant who amasses the most points throughout the Game Period will be named the Grand Prize Winner.  The entrant who amasses the second most points throughout the Game Period will be named the Runner Up and the entrant who amasses the third most points throughout the Game Period will be named the Second Runner Up.  

The points will be awarded as follows:  one hundred (100) points will be awarded for an exact bid, i.e.; a Fantasy Bid which exactly matches the actual sale price of the applicable automobile); an additional twenty-one (21) points will be awarded to the first exact bid received on the Website’s server whether via text message or online, (the “First Bid Bonus”); eighty (80) points will be awarded for bids that were within five percent (5%) below the final sales price; sixty (60) points will be awarded for bids that were within ten percent (10%) below the final sales price; forty (40) points will be awarded for bids that were within twenty percent (20%) below the final sales price; twenty (20) points will be awarded for bids that were within thirty percent (30%) below the final sales price; and ten (10) points will be awarded for bids that were within fifty percent (50%) below the final sales price. For purposes of clarity, with the exception of the First Bid Bonus and the tie-breakers (as discussed below), if any, only one (1) point value will be awarded for each successful Fantasy Bid (e.g., a Fantasy Bid within thirty percent (30%) below the final sales price will only receive twenty (20) points and not an additional ten (10) points for finishing within fifty percent (50%) below the final sales price.

Certain vehicles within the Barrett-Jackson Auction may be designated by their sellers as selling subject to a “reserve”.  In this case, if the price bid during the auction is below the reserve, the vehicle will not sell (a “No Sale Vehicle”).  In the event that any of the Fantasy Bid Vehicles becomes a No Sale Vehicle the Sponsor may in its sole discretion with respect to each such No Sale Vehicle, either (i) cancel such vehicle’s designation as a Fantasy Bid Vehicle and designate a subsequent vehicle as a replacement; or (ii) reduce the total number of Fantasy Bid Vehicles available in the Game (in which case no points will be awarded to any participant with respect to the No Sale Vehicle.

In the event of a tie, the entrant who has the most first place bids (i.e., a bid equal to the final sales price of the designated vehicle) will be awarded an extra one hundred (100) points, the entrant who has the most 2nd place bids (5% group) will be awarded an extra eighty (80) points, the entrant who has the most 3rd place bids (10% group) will be awarded an extra sixty (60) points, the entrant who has the most 4th place bids (20% group) will be awarded an extra forty (40) points and the entrant who has the most 5th place bids (30% group) will be awarded an extra twenty (20) points.

If a resident of Canada is selected as a potential Grand Prize winner, to receive the prize, he/she will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited skill-testing question to be administered by telephone as a condition to receiving the prize.  If the selected entrant from Canada cannot be reached by telephone within five (5) days  of first attempt to contact him/her, such potential winner may be disqualified and, at Sponsor's discretion, an alternate potential winner may be selected.

5. Prizes/Odds:  One Grand Prize is available.  The Grand Prize Winner will receive a 60” Flat-Panel 3D LED LCD HDTV. No substitution, transfer or cash equivalent of prize (or prize component), for one of equal value for any reason.  Actual value may vary depending on actual prize. The approximate retail value (“ARV”) of the Grand Prize is Two Thousand Five Hundred Dollars ($2,500.00).  

One (1) Runner Up Prize is available.  The Runner Up Prize Winner will receive a $500 Amazon.com online Gift Certificate.  The ARV for the Runner Up Prize is Five Hundred Dollars ($500.00).

One (1) Second Runner Up Prize is available.  The Second Runner Up Prize Winner will receive a Amazon Kindle Fire 7” Color Multi-Touch Wi-Fi digital reader.  The ARV for the Second Runner Up Prize is Two Hundred Dollars ($200.00).

Up to Twenty-eight (28) First Place Prizes are available.  Each First Place Winner will receive a 16GB Wi-fi tablet like computer with the ability to use fingertips for input.  The total ARV of all First Prizes is Fourteen Thousand Dollars ($14,000.00).

Up to Four (4) Daily Prizes are available.  Each Daily Prize Winner will receive a Five Hundred Dollar ($500.00) Gas Gift Card.  The total ARV of all Daily Prizes is Two Thousand Hundred Dollars ($2,000.00).

The total ARV of all prizes to be awarded is Nineteen Thousand Two Hundred Dollars ($19,200.00).

Odds of winning depend on the accuracy of each entrant’s estimate and the timing in which it is received.

WINNER NOTIFICATION:  At the end of the Auction Times, the winners will be determined as described above.  The potential winners will be notified by telephone and/or mail and/or email using the contact information provided at the time of entry.  Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason.  If, despite reasonable efforts, the potential winner does not respond within five (5) days of the first notification attempt (or such shorter time as exigencies may require), or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected.  If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.  Sponsor will successively attempt to contact up to two (2) potential winners of the prize in accordance with such procedure, and if there is still no confirmed winner of the prize in question after such attempts have been made, the prize may go unawarded.

GENERAL PRIZE CONDITIONS:  No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value if any prize listed is unavailable, in whole or in part, for any reason.  The prize winners shall be solely responsible for all federal, state, provincial and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize. If required by law, Sponsor reserves the right to withhold and remit to the appropriate taxing authorities the amount of any taxes due.  Prizes will be awarded only if the potential prize winner fully complies with these Official Rules.  All portions of the prize(s) are non-assignable and non-transferable.  Prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Game and/or Sweepstakes materials are for illustrative purposes only.  All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion.    The potential winners will be required to execute an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). If a winner is not of legal age of majority in his or her state of residence (a “minor”), at Sponsor’s option, the applicable prize either will be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner will be required to ratify and sign Prize Claim Documents.  If a winner (or, in the case of a minor, such minor winner’s parent or legal guardian) fails or refuses to sign and return all Prize Claim Documents within five (5) days of prize notification, the winner may be disqualified and an alternate winner may be selected.   Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes.  

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

GENERAL LIABILITY RELEASE/FORCE MAJEURE:  This Game is subject to these Official Rules and all federal, state, provincial and local laws and regulations. Acceptance of a prize constitutes winner’s permission for the Promotion Entities to use winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation.  Entrants (and any minor entrant’s parent or legal guardian) agree that the Promotion Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Game or any Game-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.   Sponsor assumes no responsibility for any damage to an entrant’s computer system which is occasioned by accessing the Website or otherwise participating in the Game, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.  Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Game, the Sweepstakes or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Game, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.  In the event of a dispute as to the identity of the entrant, any on-line entry will be deemed submitted by the authorized account holder of the e-mail account from which it was sent, provided such account holder must still meet the eligibility requirements for the Game.  The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  Each potential winner may be requested to provide the Sponsor with proof that such potential winner is the authorized account holder of the e-mail address associated with the winning entry.  If a dispute cannot be resolved to Sponsor’s satisfaction, the entry will be deemed ineligible.  Sponsor reserves the right to modify, extend, suspend, or terminate the Game, in whole or in part, if it determines, in its sole discretion, that the Game or any particular portion of the Game is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Game or particular Game drawing as contemplated herein.  In the event Sponsor is prevented from awarding prizes or continuing with the Game as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Game in its entirety or the affected Game.  If the Game or a particular Game is terminated before the designated end date, Sponsor will (if possible) select the winners in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to termination.  Only the type and quantity of prizes described in these Official Rules will be awarded.  If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s).  Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.  Only the type and quantity of prizes described in these Official Rules will be awarded.  These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor.  The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

By participating in the Game, each entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Game, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering the Game, but in no event will entrant’s attorneys’ fees be awarded or recoverable; and (3) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby knowingly and expressly waives all rights to seek, punitive, incidental or consequential damages and/or any other damages, other than actual out of pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. Each entrant further agrees to indemnify and hold harmless the Promotion Entities from any and all liability resulting or arising from Game, to release all rights to bring any claim, action or proceeding against the Promotion Entities, and hereby acknowledge that the Promotion Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (i) by any wrongful, negligent or unauthorized act or omission on the part of the prize supplier or any of its agents, servants, employees or independent contractors, ii) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Promotion Entities, or (iii) by any other cause, condition or event whatsoever beyond the control of the Promotion Entities or their parents, subsidiaries and affiliated companies.

THE INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE RULES SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION.  IN THE EVENT THAT ANY PROVISION IS DETERMINED TO BE INVALID OR OTHERWISE UNENFORCEABLE OR ILLEGAL, THESE RULES SHALL OTHERWISE REMAIN IN EFFECT AND SHALL BE CONSTRUED IN ACCORDANCE WITH THEIR TERMS AS IF THE INVALID OR ILLEGAL PROVISION WERE NOT CONTAINED HEREIN.

IN NO EVENT WILL THE PROMOTION ENTITIES, THEIR PARENT, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTIONAL AGENCIES, WEB MASTERS/SUPPLIERS, VENDORS, CONTRACTORS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF ENTRANT’S PARTICIPATION IN THE GAME.  WITHOUT LIMITING THE FOREGOING, ALL PRIZES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE PROMOTION ENTITIES HEREBY EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.  SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.  CAUTION:  ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GAME MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE RIGHT IS RESERVED TO SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

GOVERNING LAW/JURISDICTION:  ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR OR ANY OF THE PROMOTIONAL ENTITIES IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

ARBITRATION PROVISION: :  By participating in this Game, each entrant agrees that any and all disputes the entrant may have with, or claims entrant may have against, the Promotion Entities relating to, arising out of or connected in any way with (i) the Game, (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or applicability of this agreement to arbitrate, will be resolved individually and exclusively by final and binding arbitration administered by the National Arbitration Forum (the “Forum”) and conducted before a sole arbitrator pursuant to the Code of Procedure established by the Forum.  The arbitration shall be held at a location determined by the Forum pursuant to the Code of Procedure, or at such other location as may be mutually agreed by the participant and Sponsor.  The arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Game.  There shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the participant’s and/or the Sponsor’s or a Promotional Entity’s individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated.  The arbitrator shall not have the power to award punitive damages against the participant or Sponsor.  For more information on the Forum and/or the Forum's Code of Procedure, please visit their website at www.arb-forum.com.  If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein.

PRIVACY POLICY: Any personal information supplied by you to Sponsor will be subject to Sponsor's privacy policy posted at http://www.speedtv.com/privacy/.  By entering the Game, you grant Sponsor permission to share your email address and any other personally identifiable information with the other Promotion Entities for the purpose of Game administration and prize fulfillment. Speed Channel, Inc’s. Barrett-Jackson Fantasy Bid Sweepstakes – Scottsdale, AZ 2012 (the Sweepstakes) may only be entered in or from the United States, including Alaska and Hawaii, and Canada (excluding the province of Quebec).  Entries originating from any other jurisdiction are not eligible for entry into the Sweepstakes.

PROMOTION DESCRIPTION:  The Sweepstakes begins on or about January 19, 2012 at 7:00 p.m. eastern time (“ET”) and ends at approximately 6:00 p.m. ET on January 22, 2012 (the “Promotion Period”). The Sweepstakes will take place during the telecast of Speed’s live telecast of the Barrett-Jackson Auction (the “Auction”) currently scheduled to for January 19, 2011 7:00pm – 11:00pm ET; and, January 20, 2011 2:00pm – 12:00am ET; and January 21, 2011 2:00pm – 1:00am ET and January 22, 2011 2:00pm – 6:00pm ET – telecast times subject to change, check your local listings. Entry in the Sweepstakes does not constitute entry into any other promotion, game, contest or sweepstakes. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Speed Channel, Inc. (“Sponsor”), located at 1220 W. WT Harris Blvd., Charlotte, North Carolina 28262, which shall be final and binding in all respects.

ELIGIBILITY:  Only legal U.S. residents of the fifty (50) United States, including Alaska, Hawaii, the District of Columbia and Canada (excluding the province of Quebec) who are at least eighteen (18) years of age or older at the time of entry are eligible to enter.  Employees, officers, and directors of Sponsor, Barrett-Jackson Auction Co. LLC,  Ford Motor Company and any participating promotional partners  and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, partners, dealers, advertising and promotion agencies, manufacturers or distributors of promotional materials (all such individuals and entities referred to collectively, the “Promotion Entities”), and each of their immediate family members (parents, children, siblings, spouse) and/or people living in the same household (whether related or not) of such employees/officers/directors are NOT eligible to enter the Sweepstakes or win a prize.  This Sweepstakes is void in Puerto Rico or where restricted or prohibited by law.  

HOW TO ENTER:  Each time an entrant submits a “Fantasy Bid” on a vehicle featured in the Auction in connection with the Barrett-Jackson Fantasy Bid Game (the “Game”) during the Promotion Period, such entrant will receive one (1) entry into the Sweepstakes.  For Official Rules and complete details on how to place a “Fantasy Bid” in the Game, please visit the Game’s Official Rules available at http://www.speedfantasybid.com (the “Website”).  All entries must be received by the end of the Promotion Period in order to participate.  The Website’s database clock will be the official time keeper for this Sweepstakes.  All required information on the entry form must be completed to enter and to be eligible to win.  The Promotion Entities shall not be responsible for incorrect or inaccurate entry information whether caused by any technical or human error which may occur in the processing or transmission of the entries in the Sweepstakes.  Any personal information supplied by you to Sponsor will be subject to Sponsor's privacy policy posted at http://www.speedtv.com/privacy/.  By entering the Sweepstakes, you grant Sponsor permission to share your email address and any other personally identifiable information with the other Promotion Entities for the purpose of Game administration and prize fulfillment. Entry must be made by the entrant.  Entries made by any other individual or any entity, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes.  Tampering with the entry process or the operation of the Sweepstakes, including but not limited to the use of any device to automate the entry process, is prohibited and any entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void.  In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry(ies) will be deemed ineligible.  The Promotion Entities shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes.  The Promotion Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

WINNER SELECTION AND NOTIFICATION:  At the end of the Promotion Period, one (1) Grand Prize winner will be randomly selected in a drawing from all eligible entries received throughout the Promotion Period.  The drawing will be conducted by Sponsor or its designee using methods determined by Sponsor in its sole discretion.  The potential winner will be notified by telephone and/or mail and/or email using the contact information provided at the time of entry.  Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason.  If, despite reasonable efforts, a potential winner does not respond within five (5) days of the first notification attempt (or such shorter time as exigencies may require), or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected.  If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.  Sponsor will successively attempt to contact up to two (2) potential winners of the prize in accordance with such procedure, and if there is still no confirmed winner of the prize in question after such attempts have been made, the prize may go unawarded.

If a resident of Canada is selected as a potential Grand Prize winner, to receive the prize, he/she will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited skill-testing question to be administered by telephone as a condition to receiving the prize.  If the selected entrant from Canada cannot be reached by telephone within seventy-two (72) hours of first attempt to contact him/her, such potential winner may be disqualified and, at Sponsor's discretion, an alternate potential winner may be selected.

PRIZES/ODDS:  One (1) Grand Prize is available.  The Grand Prize Winner will receive a 2011 Ford Racing Champions  GT 500 Special Edition Mustang.   No substitution, transfer or cash equivalent of prize (or prize component), for one of equal value for any reason.  Actual value may vary depending on actual prize.  

In addition to the Grand Prize outlined above, the Grand Prize Winner will also receive a single cash payment in the form of a corporate check which is intended to assist with any federal, state, or other tax obligations related to each Grand Prize (the “Tax Gross-Up Payment”).  The amount of Tax Gross-Up Payment will be computed based upon the actual retail value of each Grand Prize and assuming each Grand Prize Winner’s combined tax rate for all federal, state and other tax obligations related to the Grand Prize is 34%.  The Tax Gross-Up Payment may not be sufficient to cover each Grand Prize Winner’s entire tax liability related to winning a Grand Prize.  The Grand Prize Winner is solely responsible for the payment of taxes to the relevant taxing authorities for all federal, state and local income taxes and any other taxes associated with the Grand Prize and the related Tax Gross-Up Payment.  Sponsor will comply with all tax reporting requirements.  A Form 1099 will be sent to the IRS (with a copy to each Grand Prize Winner) to report the combined value of the entire Grand Prize and the Tax Gross-Up Payment, all of which is fully includible in the Grand Prize Winner’s taxable income.

Approximate Retail Value (“ARV”) of the Grand Prize is $90,205.  This ARV does not include the value of the Tax Gross-Up Payment, which, based upon an ARV of $90,205 is estimated to be $46,470.

GENERAL PRIZE CONDITIONS:  No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value if any prize listed is unavailable, in whole or in part, for any reason.  The prize winners shall be solely responsible for all federal, state, provincial and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize.  If required by law, Sponsor reserves the right to withhold and remit to the appropriate taxing authorities the amount of any taxes due.  Prizes will be awarded only if the potential prize winner fully complies with these Official Rules.  All portions of the prize(s) are non-assignable and non-transferable.  Prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Game materials are for illustrative purposes only.  All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion.  The potential winner will be required to execute an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). If a winner is not of legal age of majority in his or her state of residence (a “minor”), at Sponsor’s option, the applicable prize either will be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner will be required to ratify and sign Prize Claim Documents.  If a winner (or, in the case of a minor, such minor winner’s parent or legal guardian) fails or refuses to sign and return all Prize Claim Documents within five (5) days of prize notification, the winner may be disqualified and an alternate winner may be selected.   Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes.  

 WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

GENERAL LIABILITY RELEASE/FORCE MAJEURE:  This Sweepstakes is subject to these Official Rules and all federal, state, provincial and local laws and regulations.  Acceptance of a prize constitutes winner’s permission for the Promotion Entities to use winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation.  Entrants (and any minor entrant’s parent or legal guardian) agree that the Promotion Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  Sponsor assumes no responsibility for any damage to an entrant’s computer system which is occasioned by accessing the Website or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.  Without limiting the generality of the foregoing,Promotional Entities are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes, the Game or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.  In the event of a dispute as to the identity of the entrant, any on-line entry will be deemed submitted by the authorized account holder of the e-mail account from which it was sent, provided such account holder must still meet the eligibility requirements for the Sweepstakes.  The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  Each potential winner may be requested to provide the Sponsor with proof that such potential winner is the authorized account holder of the e-mail address associated with the winning entry.  If a dispute cannot be resolved to Sponsor’s satisfaction, the entry will be deemed ineligible.  Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes in whole or in part if it determines, in its sole discretion, that the Sweepstakes or any portion of the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes or any Sweepstakes drawing as contemplated herein.  In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend or terminate the Sweepstakes.  If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the from all eligible, non-suspect Submissions received as of the date of the event giving rise to the termination.  Only the type and quantity of prizes described in these Official Rules will be awarded.  If, for any reason, more bona fide winners come forward seeking to claim the Grand Prize in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s).  Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.  Only the type and quantity of prizes described in these Official Rules will be awarded.  These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor.  The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

By participating in the Sweepstakes, each entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering the Game, but in no event will entrant’s attorneys’ fees be awarded or recoverable; and (3) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby knowingly and expressly waives all rights to seek, punitive, incidental or consequential damages and/or any other damages, other than actual out of pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. Each entrant further agrees to indemnify and hold harmless the Promotion Entities from any and all liability resulting or arising from Sweepstakes, to release all rights to bring any claim, action or proceeding against the Promotion Entities, and hereby acknowledge that the Promotion Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (i) by any wrongful, negligent or unauthorized act or omission on the part of the prize supplier or any of its agents, servants, employees or independent contractors, ii) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Promotion Entities, or (iii) by any other cause, condition or event whatsoever beyond the control of the Promotion Entities or their parents, subsidiaries and affiliated companies.

THE INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE RULES SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION.  IN THE EVENT THAT ANY PROVISION IS DETERMINED TO BE INVALID OR OTHERWISE UNENFORCEABLE OR ILLEGAL, THESE RULES SHALL OTHERWISE REMAIN IN EFFECT AND SHALL BE CONSTRUED IN ACCORDANCE WITH THEIR TERMS AS IF THE INVALID OR ILLEGAL PROVISION WERE NOT CONTAINED HEREIN.
